{"id":104856,"date":"2026-02-04T13:53:52","date_gmt":"2026-02-04T11:53:52","guid":{"rendered":"https:\/\/ryynanenconsulting.com\/?page_id=104856"},"modified":"2026-02-06T11:57:39","modified_gmt":"2026-02-06T09:57:39","slug":"muugitingimused","status":"publish","type":"page","link":"https:\/\/ryynanenconsulting.com\/en\/muugitingimused\/","title":{"rendered":"Terms of sale"},"content":{"rendered":"<h2><strong>TERMS OF SALE<\/strong><\/h2>\n<p><b>RYYN\u00c4NEN CONSULTING O\u00dc<\/b><b><\/b><\/p>\n<p><b>1.<span data-teams=\"true\">\u00a0General provisions<\/span><\/b><\/p>\n<p><span data-teams=\"true\">These terms of sale regulate the relationship between<\/span> <b>RYYN\u00c4NEN CONSULTING O\u00dc <\/b>(<span data-teams=\"true\">registration code<\/span> <b>11984755<\/b>) <span data-teams=\"true\">and the client in the provision of accounting and financial services.\u00a0<\/span><\/p>\n<p><b>2. <span data-teams=\"true\">Content of the service<\/span><\/b><\/p>\n<p><span data-teams=\"true\" >The content of the service is determined by:<\/span><\/p>\n<ul>\n<li><span data-teams=\"true\" >in the service offer<br \/>\n<\/span><\/li>\n<li><span data-teams=\"true\" >in the contract concluded with the client<\/span><\/li>\n<li><span data-teams=\"true\" >in a written agreement (including by e-mail)<\/span><\/li>\n<\/ul>\n<p><span data-teams=\"true\" >Services may include:<\/span><\/p>\n<ul>\n<li><span data-teams=\"true\">accounting<\/span><\/li>\n<li><span data-teams=\"true\">payroll<\/span><\/li>\n<li><span data-teams=\"true\">preparation of tax returns<\/span><\/li>\n<li><span data-teams=\"true\">preparation of annual financial statements<\/span><\/li>\n<li><span data-teams=\"true\">consulting services<\/span><\/li>\n<\/ul>\n<p><b>3. <span data-teams=\"true\">Client obligations<\/span><\/b><\/p>\n<p><span data-teams=\"true\">The client undertakes to:<\/span><\/p>\n<ul>\n<li><span data-teams=\"true\">submit the data and documents necessary for the provision of the service in a timely manner<\/span><\/li>\n<li><span data-teams=\"true\">ensure the accuracy and completeness of the data provided<\/span><\/li>\n<li><span data-teams=\"true\">immediately notify of significant changes<\/span><\/li>\n<\/ul>\n<p><span data-teams=\"true\" >RYYN\u00c4NEN CONSULTING O\u00dc is not liable for errors resulting from incorrect or incomplete data provided by the client.<\/span><\/p>\n<p><b>4. <span data-teams=\"true\">Prices and payment terms<\/span><\/b><\/p>\n<ul>\n<li>The price of the service is determined based on the price list or agreement<\/li>\n<li>Invoices are paid within <strong>7 calendar days<\/strong> of issuing the invoice<\/li>\n<li>No late payment interest is applied unless the parties have agreed otherwise<\/li>\n<\/ul>\n<p><b>5. <span data-teams=\"true\">Payment process<\/span><\/b><\/p>\n<p><span data-teams=\"true\" >The client orders the service based on a request submitted on the website, by e-mail or in a form that allows for written reproduction. The exact content, volume and price of the service are agreed upon in the offer or contract before the start of the service.<\/span><\/p>\n<p><span data-teams=\"true\">The order is considered confirmed if the client has confirmed the offer in writing or concluded a service contract.<\/span><\/p>\n<p><b>a) <span data-teams=\"true\">Payment for the service<\/span><\/b><\/p>\n<ul>\n<li><span data-teams=\"true\" >Payment for the services is made based on the invoice.<\/span><\/li>\n<li><span data-teams=\"true\">Invoices are submitted electronically to the e-mail address provided by the client.<\/span><\/li>\n<li><span data-teams=\"true\">The invoice payment term is usually <strong>7\u201314 calendar days<\/strong>, unless otherwise agreed in the contract.<\/span><\/li>\n<li><span data-teams=\"true\">Payment is made by bank transfer to the current account specified on the invoice.<\/span><\/li>\n<\/ul>\n<p><span data-teams=\"true\"  >If the Client delays payment, the Service Provider has the right to:<\/span><\/p>\n<ul>\n<li><span data-teams=\"true\" >demand late payment interest in accordance with the law or as agreed in the contract<\/span><\/li>\n<li><span data-teams=\"true\">suspend the provision of the service until the debt is paid<\/span><\/li>\n<\/ul>\n<p><span data-teams=\"true\">Accounting service is a continuous service that is provided during the period agreed in the contract.<\/span><\/p>\n<p><span data-teams=\"true\" >The service is considered to be provided to the Client if:<\/span><\/p>\n<ul>\n<li><span data-teams=\"true\">accounting entries have been made based on the submitted documents<br \/>\n<\/span><\/li>\n<li><span data-teams=\"true\">agreed reports (e.g. payroll, tax reports, annual report, etc.) have been prepared and submitted<\/span><\/li>\n<li><span data-teams=\"true\" >tax returns have been submitted to the Tax and Customs Board (if this is part of the service)<\/span><\/li>\n<\/ul>\n<p><span data-teams=\"true\">The term of provision of the service depends on the Client submitting the necessary source documents on time. The Service Provider is not responsible for delays resulting from late or incomplete submission of documents by the Client.<\/span><\/p>\n<p><b>b) <span data-teams=\"true\">Cancellation of the service and termination of the contract<\/span><\/b><\/p>\n<p><span data-teams=\"true\"  >Since this is a service provided according to the Client's needs, the usual 14-day right of withdrawal after the start of the service does not apply.<\/span><\/p>\n<p><span data-teams=\"true\">The Client has the right to cancel the contract:<\/span><\/p>\n<ul>\n<li><span data-teams=\"true\">by regular cancellation, giving at least<strong> 30 calendar days'<\/strong> notice, unless otherwise agreed in the contract<\/span><\/li>\n<li><span data-teams=\"true\">by extraordinary cancellation, if the Service Provider materially breaches the contract<\/span><\/li>\n<\/ul>\n<p><span data-teams=\"true\" >The Service Provider has the right to cancel the contract if:<\/span><\/p>\n<ul>\n<li><span data-teams=\"true\"  >The Client has repeatedly failed to pay invoices<\/span><\/li>\n<li><span data-teams=\"true\" >The Client does not submit the documents necessary for the provision of the service<\/span><\/li>\n<li><span data-teams=\"true\">The Client materially breaches the contract<\/span><\/li>\n<\/ul>\n<p><b><span class=\"Apple-converted-space\" >\u00a0<\/span>c) <span data-teams=\"true\">Refund<\/span><\/b><\/p>\n<p><span data-teams=\"true\">Amounts paid for services already provided will not be refunded.<\/span><\/p>\n<p><span data-teams=\"true\">If the Client has paid an advance payment for services that have not yet been provided, the unused amount will be refunded after the termination of the contract, minus:<\/span><\/p>\n<ul>\n<li><span data-teams=\"true\">the cost of services already provided<\/span><\/li>\n<li><span data-teams=\"true\">possible contractual penalties or fees stipulated in the contract<\/span><\/li>\n<\/ul>\n<p><span data-teams=\"true\">The money will be returned to the Client's bank account no later than <strong>14 calendar days<\/strong> after the final settlement.<\/span><\/p>\n<p><b>d) <span data-teams=\"true\">Liability for tax and reporting obligations<\/span><\/b><\/p>\n<p><span data-teams=\"true\">The Service Provider is responsible for the correct execution of accounting operations based on the data provided by the Client. The Client is responsible for the accuracy, completeness and timely transmission of the provided data and documents.<\/span><\/p>\n<p><span data-teams=\"true\"  >The Service Provider is not liable for damage resulting from:<\/span><\/p>\n<ul>\n<li><span data-teams=\"true\">incorrect or incomplete data provided by the Client<\/span><\/li>\n<li><span data-teams=\"true\">late transmission of documents<\/span><\/li>\n<li><span data-teams=\"true\">Client's instructions that are contrary to the law<\/span><\/li>\n<\/ul>\n<p><b>6. <span data-teams=\"true\">Liability<\/span><\/b><\/p>\n<p><span data-teams=\"true\"  >RYYN\u00c4NEN CONSULTING O\u00dc is liable only for direct material damage caused by intent or gross negligence.<\/span><\/p>\n<p><span data-teams=\"true\" >The service provider is not liable for:<\/span><\/p>\n<ul>\n<li><span data-teams=\"true\" >loss of income<\/span><\/li>\n<li><span data-teams=\"true\">claims from third parties<\/span><\/li>\n<li><span data-teams=\"true\">consequences arising from changes in the law or interpretations of authorities<\/span><\/li>\n<\/ul>\n<p><b>7. <span data-teams=\"true\">Confidentiality<\/span><\/b><\/p>\n<p><span data-teams=\"true\" >All data and information related to the client are confidential and will not be disclosed to third parties without a legal basis.<\/span><\/p>\n<p><b>8. <span data-teams=\"true\">Termination of the contract<\/span><\/b><\/p>\n<ul>\n<li><span data-teams=\"true\" >The contract may be terminated with a written notice of at least <strong>30 days<\/strong> in advance<\/span><\/li>\n<li><span data-teams=\"true\">The service provider has the right to terminate the contract immediately if the client materially breaches its contractual obligations<\/span><\/li>\n<\/ul>\n<p><b>9. <span data-teams=\"true\">Dispute resolution<\/span><\/b><\/p>\n<p><span data-teams=\"true\" >Disputes shall first be resolved through negotiations.
